THE ROLE
STRIVE is partnered with one of Vancouver’s leading Law firms on the recruitment of a Corporate Paralegal with the role based out of their downtown office! The Corporate Paralegal will be part of their high-performing team. Providing a high level of service to their clients and work closely with the Corporate Services department. The client is looking for a professional and personable employee who is detail oriented and has the ability to prioritize and multi-task.
Responsibilities
Corporate Records Work:
- Maintain physical company record books and Corporate Services Department paper/digital client files (BC, federal, and EPRs).
- Assist with converting physical company record books into virtual minute books.
- Prepare various forms and documents from precedents and templates.
- Maintain/update the ALF Corporate Records Database.
- Prepare outgoing document packages/record books for courier delivery.
- Answer and direct phone calls and respond to email inquiries.
- Communicate directly with clients as needed.
Transactional M&A Work:
- Handle formation and governance matters for corporations (including not-for-profits) and partnerships.
- Assist with preparing documentation for commercial transactions such as changes of ownership or management, M&A, joint ventures, amalgamations, and dissolutions.
- Conduct due diligence reviews of corporate records and prepare rectification resolutions; perform and review public searches related to due diligence matters.
- Perform various BC Online searches.
- Edit/format various correspondence, agreements, reports, forms, and spreadsheets.
- Coordinate the execution and collation of transaction documents.
- Manage closing documents and prepare digital closing books.
- Assist on large-scale projects/transactions for the firm.
Requirements
- At least 3 years of experience as a Paralegal in a similar law firm environment, ideally with a focus on Corporate.
- Experience in Securities and/or Real Estate Law is a definite asset.
- Completion of an accredited Paralegal program.
- Strong technical and formatting skills with excellent attention to detail.
- Extensive experience with legal applications, including Alf, Microsoft Office Suite, Adobe, Workshare Compare, BC Online, DocuSign, and MyLTSA.
- Experience with legal applications such as Soluno and Worldox is a definite asset.
- Excellent organizational skills, with the ability to organize and prioritize a busy workload.
- Tactful and good judgment when handling confidential and sensitive matters or direct communications with clients.
- Strong team player with collaborative skills, excellent communication, and interpersonal skills, and comfortable working on group projects.
